These Terms of Use (“Terms”) govern your use of Kodeo Notes, including Notes Free, Notes Pro, and Notes Anywhere.
Kodeo Notes is provided by Kodeo Labs Ab, business ID 3122668-6, with an address at Småholmavägen 3 B 1, 22150 Jomala, Finland (“Kodeo”, “we”, “us”, or “our”).
By accessing or using Kodeo Notes, creating an account, or purchasing a paid feature, you agree to these Terms. Our Privacy Policy explains how we handle personal information.
Kodeo Notes is a note-taking application offered in the following versions:
Available features may vary by platform, device, region, and app version. The features, price, billing period, and any trial offered are shown before purchase.
Notes Anywhere requires an account associated with a valid email address.
You are responsible for:
You must notify us at support@kodeo.io if you believe your account has been accessed without authorization.
Notes Free and Notes Pro store notes and folders locally on your device unless you enable Notes Anywhere.
Notes Anywhere synchronizes encrypted data through Kodeo’s servers. Synchronization depends on factors including internet access, device availability, software compatibility, and service availability. Changes made offline may not appear on another device until synchronization completes.
Although we design Kodeo Notes to reduce the risk of data loss, you remain responsible for keeping appropriate backups of important information. Removing the app, clearing app storage, losing a device, or deleting local files may permanently remove locally stored data.
Note content and folder names synchronized through Notes Anywhere are end-to-end encrypted. Kodeo’s servers do not receive your passphrase or a usable unencrypted vault key.
You are responsible for protecting your passphrase, recovery key, and unlocked devices. Kodeo cannot reset your passphrase or recover your decrypted notes if you lose both your passphrase and recovery key.
If you choose to keep notes unlocked on a device, protected cryptographic material may be stored locally on that device. Anyone with access to an unlocked device may be able to access the notes available on it.
You retain ownership of the notes and other content you create in Kodeo Notes.
You give Kodeo only the limited rights needed to store, transmit, synchronize, back up, and otherwise process your encrypted data to provide Notes Anywhere. This does not give Kodeo ownership of your content.
Because supported vault content is end-to-end encrypted, Kodeo generally cannot read or review it.
Purchases may be processed by Apple, Google, RevenueCat, or another payment provider identified at the time of purchase. Their payment and store terms may also apply.
Notes Anywhere subscriptions automatically renew at the end of each billing period unless cancelled before renewal. The applicable price, billing period, currency, taxes, and renewal terms are displayed before you confirm the purchase.
If a free trial or promotional price is offered, its duration and the date on which payment begins will be shown before you subscribe. Unless you cancel before the trial or promotional period ends, the subscription may automatically convert to a paid subscription as disclosed at purchase.
You can cancel a subscription through the store or account used to purchase it. Cancellation normally takes effect at the end of the current paid billing period. Deleting the Kodeo Notes app or your Kodeo account does not automatically cancel a subscription managed by Apple or Google.
If your Notes Anywhere subscription expires or is cancelled:
You can delete your account and associated server data separately through Settings > Account > Delete account or by following the instructions at kodeo.io/notes/delete-account.
Refund requests for purchases made through Apple or Google are generally handled by the relevant app store. Purchases made through another payment provider are handled according to the terms shown at purchase.
Nothing in these Terms limits any mandatory rights you have under applicable consumer law, including rights relating to cancellation, withdrawal, refunds, or remedies when a digital service is faulty or does not match its description.
You may not use Kodeo Notes to:
We aim to keep Kodeo Notes reliable and available, but we do not guarantee uninterrupted or error-free operation. Maintenance, security incidents, provider outages, internet failures, and other circumstances may temporarily affect the service.
We may update, improve, replace, or discontinue features. Where a change materially reduces a paid service, we will provide reasonable notice when practical and any remedy required by applicable law.

You may delete your Notes Anywhere account at any time. Account and data deletion are handled as described in our Privacy Policy.
Kodeo Notes, including its software, design, branding, and documentation, is owned by Kodeo or its licensors and is protected by applicable intellectual-property laws.
Subject to these Terms, Kodeo grants you a limited, non-exclusive, non-transferable right to use Kodeo Notes for lawful purposes on supported devices. You may not copy, resell, redistribute, reverse engineer, or create derivative works from Kodeo Notes except where applicable law expressly permits it.
We provide Kodeo Notes with reasonable care and skill. However, no software or online service can eliminate every risk of interruption, error, unauthorized access, or data loss.

Kodeo remains responsible where loss is caused by our breach of these Terms or failure to use reasonable care and the loss was reasonably foreseeable.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, or restricts your mandatory consumer rights.
Kodeo Notes relies on third-party services such as Apple, Google, RevenueCat, Render, Resend, and Cloudflare. Your use of those services may also be governed by their own terms and privacy policies.
App-store terms may apply separately to the licensing, billing, cancellation, and refund of purchases made through that store.
We may update these Terms when Kodeo Notes, applicable law, or our business practices change.
If a change materially affects your rights or a paid service, we will provide reasonable notice through the app, website, email, or another appropriate method before the change takes effect where required.
The date at the top shows when these Terms were last updated. Continuing to use Kodeo Notes after updated Terms take effect means that the updated Terms apply, except where applicable law requires another form of consent.
These Terms are governed by the laws of Finland.
If you are a consumer, this choice of law does not remove any mandatory protections you have under the laws of your country of residence. You may also have the right to bring a dispute before the courts or consumer authorities available in your country.
